Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the website and services provided by Bitswift Technology Solutions Inc. ("Bitswift", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Services

Bitswift provides managed IT services, cybersecurity, web hosting, email hosting, application development, cloud integration, backup solutions, and related technology services. The specific scope of services will be defined in individual service agreements between Bitswift and the client.

Account & Access

Certain services require account credentials. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access or use.

Service Level & Availability

We strive to maintain high availability for all hosted services. Specific uptime commitments, maintenance windows, and support response times will be outlined in individual service agreements. Bitswift is not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, third-party provider failures, or cyberattacks.

Pricing & Payment

  • All prices are listed in Canadian Dollars (CAD) unless otherwise stated.
  • Managed services and hosting plans are billed on a monthly or annual basis as agreed.
  • Payment is due within 30 days of invoice date unless otherwise specified.
  • We reserve the right to adjust pricing with 30 days’ written notice.
  • Late payments may be subject to interest at a rate of 1.5% per month.

Acceptable Use

You agree not to use our services to:

  • Engage in any unlawful, fraudulent, or harmful activity.
  • Distribute malware, spam, or any malicious content.
  • Violate the intellectual property rights of any third party.
  • Attempt to gain unauthorised access to any systems or networks.
  • Host content that is defamatory, obscene, or promotes hatred or violence.
  • Consume excessive resources that impact service quality for other clients.

Violation of this policy may result in immediate suspension or termination of services.

Intellectual Property

All content on the Bitswift website, including text, graphics, logos, and software, is the property of Bitswift Technology Solutions Inc. and is protected by Canadian and international copyright law. You may not reproduce, distribute, or create derivative works without our written permission.

Custom applications or websites developed by Bitswift for clients remain the intellectual property of the client upon full payment, unless otherwise specified in the service agreement.

Data & Privacy

Your use of our services is also governed by our Privacy Policy. We handle all client data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian privacy legislation.

Backups & Data Recovery

Bitswift provides backup services as part of certain managed hosting and IT plans. While we take every reasonable precaution to protect your data, we recommend that clients maintain their own independent backups. Bitswift is not liable for data loss resulting from circumstances beyond our control.

Limitation of Liability

To the maximum extent permitted by law, Bitswift Technology Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you to Bitswift in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Bitswift Technology Solutions Inc., its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

Termination

  • Either party may terminate managed service agreements with 30 days’ written notice.
  • Bitswift may suspend or terminate services immediately for violation of the Acceptable Use policy or non-payment.
  • Upon termination, you are responsible for payment of all services rendered up to the termination date.
  • We will provide reasonable assistance in migrating your data to another provider upon request.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
